I’ve spent over 35 years practicing business law in Connecticut and New York, advising privately held companies, entrepreneurs, and investors. My practice is now focused on structural integrity: ensuring that key agreements and governance documents are battle-tested to withstand disputes and secure high-stakes transactions.

I partner with business owners and their trusted advisors on the most risk-intensive moments in the business lifecycle. This ranges from structuring capital raises and managing complex partnerships to my specialty: Governance Overhauls and Seamless Partner Exits. My goal is simple: identify latent dispute triggers, provide actionable finality, and ensure owners move forward with confidence.

For select established businesses, I serve as a Fractional General Counsel, offering the continuous, strategic input of an in-house expert. My structured legal reviews are designed to build a clear roadmap for high-stakes decisions, ensuring legal structure supports—and doesn’t sabotage—growth and ownership transitions.

Whether the company is facing growth or dissolution, my work ensures owners have legal clarity and finality. I help businesses avoid the catastrophic cost of partnership litigation, strengthen the structural foundation, and secure a predictable future.

A Bit More Background
I’m based in Stamford, Connecticut, and work virtually with clients across Fairfield County, Westchester County, and throughout Connecticut and New York. My experience spans the full spectrum of corporate practice, which is the foundation of my specialty in structural risk today:

General Counsel (GC/Outside GC Roles): Managing the daily and transactional legal risks for high-growth firms, including experience as General Counsel at a transactions-based financial advisory firm. This taught me the high cost of a poorly drafted exit.

Adjunct Professor of Business Law: Teaching the fundamentals of corporate structure and liability, ensuring I master not just the practice, but the core principles.

Solo Private Practice (10+ Years): Hands-on experience advising middle-market business owners on operational and transitional matters.

Law Firm Private Practice (Early Career): Gaining foundational corporate and transactional expertise in fast-paced, large New York City law firm’s corporate departments environment.

• I’ve also shared insights on corporate finance and entrepreneurship at forums, including the XCite Women’s Entrepreneurship Forum sponsored by UCONN, deepening my ability to advise on capital structure and growth transitions

My practice is built on the knowledge gained from sitting in every seat—from the law firm chair to the general counsel’s seat. Today, I intentionally limit my engagements to preserve rapid turnaround time and focus solely on delivering practical, actionable guidance that fixes the problem permanently.
